Filing of Annual Returns

Companies and close corporations in South Africa are required to verify the accuracy of their company details and file annual returns with the Companies and Intellectual Property Commission (CIPC). To ensure compliance with the Companies Act and the requirements of the South African Revenue Services, we will file the annual return within the required time frame. This process involves verifying company details, submitting financial statements and other relevant supporting documents.

Filing of Beneficial Ownership

A Beneficial owner in respect of a company or close corporation, means an individual who, directly or indirectly, ultimately owns that company or close corporation or exercises effective control of that company or close corporation. Filing beneficial ownership information at the Companies and Intellectual Property Commission (CIPC) has become mandatory as of 11 December 2023 to avoid deregistration of your company or close corporation.

Since 1 July 2024, the submission of beneficial ownership will be required before filing a company’s annual return. Companies that are registered for the first time need to ensure their beneficial owner register is filed within 10 days of incorporation. To avoid admin penalty fees and deregistration, we will file the beneficial owner register within the required time frame

Company and Close Corporation Changes and Amendments

  • Name Changes: We reserve and register your new name via the Companies and Intellectual Property Commission (CIPC) portal (Biz Portal).
  • Registered address amendments: All companies and close corporations in South Africa are required to maintain at least one registered office in South Africa. The registered address or office of a company or close corporation, as well as their email address is very important. It is the address at which all legal documents will be served. Companies and close corporations are required by law to keep details of their registered address updated at all times.
  • Amendments to authorized shares: Changes, such as submitting an authorized share change, require specific requirements and filings with the Companies and Intellectual Property Commission (CIPC).
  • MOI Amendments: The MOI governs a company. Significant changes in structure, rules, or shareholder rights require MOI amendments, filed with the Companies and Intellectual Property Commission (CIPC) for legal and official recognition.
  • Financial Year-End Amendments: Companies and close corporations may change their financial year-end, aligning reporting with business cycles or strategic objectives.
